Terms of Use

These Terms of Use ("Terms") govern access to and use of the Grace Belgravia influencer marketing platform (the "Platform"), operated by LOXA HOLDINGS LTD ("we", "us", "our").

• By accessing, registering or using the Platform you confirm that you accept these Terms and agree to be legally bound by them.
• These Terms apply to all users of the Platform including brands, influencers, agencies and visitors.
• If you do not agree to these Terms you must not access or use the Platform.

Grace Belgravia provides technology tools enabling brands and influencers to discover one another and manage influencer marketing collaborations.

• The Platform functions solely as a technology intermediary.
• The Platform does not act as an agent, broker or representative for any user.
• Any collaboration agreement entered into through the Platform is solely between the participating Brand and Influencer.
• The Platform does not guarantee the outcome, performance or success of any campaign.

• Users must be at least 18 years of age.
• By creating an account you confirm that you have legal authority to enter into binding contracts.
• If registering on behalf of a company you confirm you are authorised to represent that organisation.
• The Platform reserves the right to verify user identity and business credentials.

• Users must provide accurate and complete information.
• Users are responsible for maintaining the confidentiality of login credentials.
• You are responsible for all activity conducted under your account.
• We may suspend or terminate accounts suspected of misuse, fraud or policy violations.

The Platform may allow users to connect social media accounts including Instagram, Facebook, TikTok and other platforms. By connecting an account you authorise the Platform to retrieve certain publicly available data through official APIs.

The Platform is not responsible for:

• Changes to platform algorithms
• Data availability restrictions
• Suspension of user social media accounts
• Third-party platform outages

Continued access to social media data depends on third-party platform permissions.

• Brands must clearly define campaign terms including deliverables, timelines and compensation.
• Influencers must make reasonable efforts to deliver agreed content.
• The Platform is not responsible for disputes regarding campaign performance or payment.
• Users are encouraged to enter written agreements for collaborations.

• Influencers must comply with applicable advertising regulations including UK Advertising Standards Authority (ASA) rules.
• Sponsored content must be clearly disclosed where required.
• Brands are responsible for ensuring marketing materials comply with advertising, consumer protection and product regulations.

• Users retain ownership of intellectual property they create.
• Users grant the Platform a non-exclusive licence to host, display and process uploaded content for the purpose of operating the Platform.
• The Platform's software, design, branding and database rights remain the property of LOXA HOLDINGS LTD.

Users are responsible for content uploaded to the Platform.

We reserve the right to remove or restrict access to content that:

• Infringes intellectual property rights
• Is defamatory or unlawful
• Promotes illegal goods or services
• Violates these Terms

The Platform may remove content without prior notice where necessary.

Influencers must not artificially inflate engagement metrics. Use of fake followers, bots or engagement manipulation tools is prohibited. The Platform reserves the right to remove accounts suspected of fraudulent activity.

Users must not:

• Use the Platform for unlawful purposes
• Scrape or harvest data from the Platform
• Attempt to reverse engineer or disrupt the service
• Distribute malware or harmful code
• Impersonate other users
• Interfere with platform security

• Payment arrangements are agreed directly between brands and influencers.
• The Platform does not process payments unless explicitly stated.
• The Platform is not responsible for non-payment or payment disputes.

We aim to maintain reliable service but do not guarantee uninterrupted access. The Platform may be temporarily unavailable due to maintenance, updates or technical issues.

Certain features may be offered as experimental or beta services. Such features may be modified or discontinued at any time.

The Platform integrates with external services including social media platforms. We are not responsible for third-party services, policies or functionality.

Users agree to indemnify LOXA HOLDINGS LTD against claims arising from:

• Breach of these Terms
• Intellectual property infringement
• Product liability claims
• Regulatory violations
• Disputes between users

To the fullest extent permitted by law the Platform shall not be liable for indirect or consequential losses. Total liability shall not exceed the amount paid by the user in the preceding three months.

We are not liable for failure to perform due to events beyond our reasonable control including system failures, natural disasters or regulatory actions.

We may suspend or terminate accounts for breach or misuse. Users may terminate their account at any time.

Use of the Platform is subject to the Grace Belgravia Privacy Policy.

We may assign or transfer our rights under these Terms in connection with a merger, acquisition or business restructuring.

Users agree to attempt good-faith resolution before commencing legal proceedings. Disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

These Terms constitute the entire agreement between the Platform and users.
